These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "Client") and JBNN Experts Pvt Ltd, a private limited company incorporated under the Companies Act, 2013 (CIN: U52290KA2025PTC209436), trading as "JB Experts," with its registered office at WeWork Salarpuria Symbiosis, Bengaluru, Karnataka 560076, India ("Company," "we," "us," or "our").
These Terms govern your access to and use of our website at https://www.jbexperts.com, our e-commerce store at https://shop.jbexperts.com, and all related services, including but not limited to export management consulting, buyer discovery, market analysis, compliance support, logistics coordination, training programs, digital products, and webinars (collectively, the "Services").
By accessing our website or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must immediately cease using our website and Services.
1. ELIGIBILITY
By using our Services, you represent and warrant that:
• You are at least 18 years of age.
• You have the legal capacity and authority to enter into a binding agreement.
• If acting on behalf of a business entity, you are duly authorized to bind that entity to these Terms.
• All information you provide to us is true, accurate, complete, and current.
• Your use of our Services does not violate any applicable law or regulation in your jurisdiction.
2. SERVICES
2.1 Nature of Services
JB Experts operates as an export management company, providing end-to-end export services to manufacturers, traders, and entrepreneurs. Our services include but are not limited to:
• Buyer discovery and international market research across 17+ industries
• Export documentation, compliance, and regulatory support
• Logistics coordination, shipping management, and customs facilitation
• Pricing strategy, negotiation support, and deal closing
• Digital products including export analysis reports, trade databases, and market intelligence
• Training programs, webinars, bootcamps, and educational content
• Exporter on Record services under Plan B arrangements
2.2 Service Plans
We offer structured service plans with specific deliverables, timelines, and commercial terms. The exact scope, pricing, and terms of each engagement are detailed in the respective Service Agreement, Proposal, or Plan document provided to you prior to commencement. In the event of conflict between these Terms and a specific Service Agreement, the Service Agreement shall prevail.
2.3 No Guarantee of Results
While we apply our best expertise and proven methodologies, international trade involves inherent risks and variables beyond our control, including but not limited to market conditions, regulatory changes, currency fluctuations, buyer behavior, geopolitical factors, and force majeure events. We do not guarantee specific outcomes, including but not limited to the number of buyers identified, volume of orders received, revenue generated, or export shipments completed.
3. ACCOUNT REGISTRATION
Certain Services may require you to create an account on our website or e-commerce store. You are responsible for:
• Maintaining the confidentiality of your account credentials.
• All activities that occur under your account.
• Notifying us immediately of any unauthorized use of your account.
We reserve the right to suspend or terminate your account if we suspect unauthorized access or violation of these Terms.
4. PAYMENTS AND BILLING
4.1 Pricing
All prices for our Services and digital products are displayed on our website or communicated in service proposals. Prices are quoted in Indian Rupees (INR) unless otherwise specified. All prices are exclusive of applicable taxes (GST at prevailing rates) unless explicitly stated as inclusive.
4.2 Payment Methods
We accept payments through the following methods:
• Online payment via Razorpay (credit/debit cards, UPI, net banking, wallets)
• International payments via Stripe or PayPal
• Bank transfer / NEFT / RTGS to our designated bank account
All online payments are processed securely through PCI-DSS compliant payment gateways. We do not store your credit card or banking details on our servers.
4.3 Payment Terms
For consulting and service engagements, payment terms are specified in the respective Service Agreement. Unless otherwise agreed:
1. Digital products and reports: Full payment at the time of purchase.
2. Training programs and webinars: Full payment at the time of registration.
3. Consulting plans (Plan 0, Plan A, Plan B): As per the payment schedule in the Service Agreement.
4. Late payments may attract interest at 1.5% per month or the maximum rate permitted by law, whichever is lower.
4.4 Taxes
All applicable taxes, including Goods and Services Tax (GST), will be charged in addition to the service/product price unless otherwise stated. Our GSTIN is 29AAHCJ0970E1ZJ. Tax invoices will be provided for all transactions.
5. INTELLECTUAL PROPERTY
5.1 Our Intellectual Property
All content on our website, including but not limited to text, graphics, logos, images, videos, course materials, reports, databases, market analyses, templates, and software, is the intellectual property of JBNN Experts Pvt Ltd and is protected by copyright, trademark, and other intellectual property laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any of our content without our prior written consent.
5.2 Digital Products
When you purchase digital products (export analysis reports, trade databases, market intelligence reports), you receive a limited, non-exclusive, non-transferable license to use the product for your internal business purposes only. You may not:
• Resell, redistribute, or share purchased reports with third parties.
• Reproduce or publish any part of the report without written permission.
• Use the content for competitive intelligence against JB Experts.
5.3 Client Materials
Any materials, data, or information you provide to us for the purpose of our Services remain your property. You grant us a limited, non-exclusive license to use such materials solely for delivering the agreed Services. We will maintain confidentiality of your proprietary information as outlined in Section 8.
6. USER CONDUCT
You agree not to:
• Use our website or Services for any unlawful purpose or in violation of any applicable law or regulation.
• Provide false, misleading, or fraudulent information.
• Attempt to gain unauthorized access to our systems, databases, or other users’ accounts.
• Use automated tools (bots, scrapers) to access or collect data from our website.
• Interfere with or disrupt the operation of our website or Services.
• Upload or transmit malicious code, viruses, or harmful content.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Use our Services to engage in any activity that violates international trade laws, sanctions, or export control regulations.
7. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law:
(a) JBNN Experts Pvt Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our Services, including but not limited to loss of profits, loss of revenue, loss of business opportunities, loss of data, or business interruption.
(b) Our total aggregate liability for any claim arising out of or related to these Terms or our Services shall not exceed the total amount paid by you to us in the twelve (12) months immediately preceding the event giving rise to the claim.
(c) We shall not be liable for any delays, failures, or losses resulting from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, civil unrest, government actions, regulatory changes, sanctions, trade embargoes, port closures, shipping delays, currency restrictions, cyberattacks, or failures of third-party service providers.
8. CONFIDENTIALITY
Both parties agree to maintain the confidentiality of all proprietary and sensitive information exchanged during the course of the business relationship. Confidential information includes but is not limited to:
• Business strategies, financial data, and pricing information
• Buyer and supplier databases and contact information
• Market research reports and trade intelligence
• Product specifications, manufacturing processes, and trade secrets
• The terms and conditions of any Service Agreement between the parties
Confidentiality obligations shall survive the termination of these Terms for a period of five (5) years.
9. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless JBNN Experts Pvt Ltd, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:
• Your breach of these Terms.
• Your violation of any applicable law or regulation.
• Your provision of false, inaccurate, or misleading information.
• Any third-party claim arising from your use of our Services.
• Any export/import activity conducted based on our Services where you failed to obtain required licenses, permits, or certifications.
10. TERMINATION
Either party may terminate the business relationship:
• With 30 days’ written notice to the other party for convenience.
• Immediately upon written notice if the other party materially breaches these Terms and fails to cure such breach within 15 days of receiving written notice.
• Immediately if required by law, regulatory order, or government directive.
Upon termination: (a) all outstanding payments become immediately due; (b) each party shall return or destroy confidential information of the other party; (c) provisions that by their nature should survive termination (including Confidentiality, Limitation of Liability, Indemnification, and Intellectual Property) shall survive.
11. DISPUTE RESOLUTION
11.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of India.
11.2 Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms shall be settled by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted by a sole arbitrator mutually agreed upon by the parties, and the seat of arbitration shall be Bengaluru, Karnataka, India. The language of arbitration shall be English.
11.3 Jurisdiction
Subject to the arbitration clause above, the courts of Bengaluru, Karnataka, India shall have exclusive jurisdiction over any legal proceedings arising out of or related to these Terms.
12. GENERAL PROVISIONS
• Entire Agreement: These Terms, together with any applicable Service Agreement and our Privacy Policy, constitute the entire agreement between you and the Company regarding the subject matter hereof.
• Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
• Waiver: Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
• Force Majeure: Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control.
